Why do I get, "Memory Low,, close all programs possible"? I am only running 2 programs. Win XP 256mb Memory

XP minimum is 512mb. The sweet spot for XP is 2gb. Memory is extremely cheap now - like 2G of DDR2 800 for less than $50.
